TERMS OF SERVICE

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "your") and Fluentia AI and Web ("Company," "we," "us," or "our") governing your access to and use of our website www.fluentia.co.uk and any related services (collectively, the "Services").

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

By using our Services, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are using our Services on behalf of a business or other entity, you represent and warrant that you have the authority to bind that entity to these Terms.

4. User Accounts

Some features of our Services may require you to create an account. You agree to:

  • Provide accurate, current, and complete information during registration

  • Maintain and promptly update your account information

  • Keep your login credentials confidential and secure

  • Notify us immediately of any unauthorized use of your account

  • Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, outdated, or incomplete.

5. Communications and SMS Consent

General Communications

By providing your contact information, you agree to receive communications from us related to your inquiries, our services, and your account.

SMS/Text Message Marketing

By providing your mobile phone number and checking the consent box on our forms, you expressly consent to receive recurring promotional and personalized marketing text messages from Fluentia AI and Web.

You understand and agree that:

  • Messages may include information about AI solutions, special offers, discounts, service updates, and promotional content

  • Message frequency varies

  • Message and data rates may apply based on your mobile carrier plan

  • Consent to receive text messages is not a condition of purchasing any goods or services

  • You may opt out at any time by replying STOP to any message

By consenting to receive text messages, you confirm that you are the owner or authorized user of the mobile device and phone number provided and that you are authorized to approve the applicable charges.

6. Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Services in any way that violates applicable laws or regulations

  • Transmit harmful, threatening, abusive, defamatory, or objectionable content

  • Attempt unauthorized access to the Services or related systems

By submitting content through the Services, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content to provide and improve our Services.

8. Payment Terms

Fees

Fees for our Services will be outlined in separate agreements, proposals, or invoices. All fees are quoted in Pounds Sterling (£) unless otherwise specified.

Payment

Payment is due within 30 days of invoice date unless otherwise stated. We accept payment via Stripe.

Late Payment

Late payments may be subject to interest at 1.5% per month. We reserve the right to suspend or terminate Services for overdue accounts.

Refunds

Refunds are handled on a case-by-case basis and are not guaranteed. No refunds are provided for completed services.

9. Confidentiality

Each party agrees to maintain the confidentiality of proprietary or confidential information disclosed in connection with the Services, except where such information is publicly available or lawfully obtained.

10. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND.

We do not guarantee uninterrupted, error-free, or secure operation of the Services.

For AI and automation services, outputs are provided for informational and operational purposes only. Results may vary, and no specific outcomes are guaranteed.

11. Limitation of Liability

To the fullest extent permitted by law, Fluentia AI and Web shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of profits or data.

Our total liability shall not exceed the total amount paid by you to us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Fluentia AI and Web from claims arising from your use of the Services, violation of these Terms, or infringement of third-party rights.

13. Termination

Termination by You

You may stop using our Services at any time by contacting info@fluentia.co.uk.

Termination by Us

We may suspend or terminate access to the Services at our discretion, with or without notice.

Effect of Termination

Upon termination, your right to use the Services ceases immediately.

14. Dispute Resolution

Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. General Provisions

These Terms constitute the entire agreement between you and Fluentia AI and Web.

If any provision is held invalid, the remaining provisions shall remain in effect.

16. Changes to Terms

We may update these Terms at any time. Changes will be reflected by updating the “Last Updated” date. Continued use of the Services constitutes acceptance of revised Terms.
